Governing law
These Terms and Conditions govern participation in the VIDA Referral Programme, operated by Vida Studio Ltd, referred to as VIDA, we, our, or us. By participating in the Referral Programme, you agree to be bound by these Terms
1. Eligibility
1.1 The Referral Programme is open to individuals aged 18 or over.
1.2 Participants [the Referred Party] must be legally able to enter into a binding agreement under applicable UK law.
1.3 Employees, contractors and immediate family members of VIDA are not eligible to participate unless explicitly stated otherwise by VIDA in writing.
2. How the Referral Programme Works
2.1 A referral occurs when an individual, the Referrer, introduces a new potential customer, the Referred Party, to VIDA.
2.2 The Referred Party must be new to VIDA, meaning they are not an existing customer or an active sales lead at the time of referral.
2.3 The Referred Party must enter into a paid commercial agreement with VIDA for the referral to be eligible.
2.4 Referrals must be made via an approved method, including an email introduction, direct recommendation, referral form or another method agreed by VIDA.
2.5 Referrers must confirm they have obtained the Referred Party’s consent before sharing their contact details with VIDA.
3. Referral Rewards
3.1 Referral rewards are issued at VIDA’s discretion based on the level of introduction provided, as outlined in the Referral Programme communications.
3.2 Rewards may include gift vouchers, service credits or charitable donations, as agreed between VIDA and the Referrer.
3.3 Where a gift voucher is issued, its value will be confirmed in writing and may vary depending on the nature of the referral.
3.4 Gift vouchers are non transferable, non exchangeable and have no cash alternative.
3.5 VIDA reserves the right to substitute a reward with an alternative of equal value if necessary.
4. When a Referral Is Considered Successful
4.1 A referral is considered successful only when the Referred Party has signed a commercial contract with VIDA and the first invoice has been paid in full.
4.2 VIDA reserves the sole right to determine whether a referral qualifies as successful and meets the criteria of the Referral Programme.
5. Reward Fulfilment
5.1 Referral rewards will be issued within 30 days of the referral being confirmed as successful.
5.2 VIDA is not responsible for lost, expired or unused vouchers once issued.
5.3 Any tax obligations arising from receipt of a referral reward are the sole responsibility of the Referrer.
6. Fair Use and Conduct
6.1 Referrers must not engage in spam, misleading or deceptive practices when making referrals.
6.2 Referrers must not misrepresent VIDA’s products or services.
6.3 Referrers must not use paid advertising, incentive based schemes or public promotions without prior written consent from VIDA.
6.4 VIDA reserves the right to withhold or cancel rewards if it reasonably suspects fraud, abuse or a breach of these Terms.
7. Data Protection
7.1 Personal data will be processed in accordance with VIDA’s Privacy Policy and applicable UK GDPR requirements.
7.2 Referrers confirm they have obtained consent from the Referred Party before sharing personal data with VIDA
8. Program Changes or Termination
8.1 VIDA reserves the right to amend, suspend or terminate the Referral Programme at any time without prior notice.
8.2 Any changes will not affect rewards already earned for referrals confirmed as successful prior to the change.
9. Limitation of Liability
9.1 To the maximum extent permitted by law, VIDA shall not be liable for any indirect, incidental, or consequential losses arising from participation in the Referral Program.
9.2 Nothing in these Terms excludes or limits liability for fraud or for any matter that cannot be excluded or limited under UK law.
10. Governing Law and Jurisdiction
10.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
10.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
